The terms and conditions of this licence agreement apply to all photos provided by
BuildingImages (BuildingImages.dk) to you as a licensee.
The Licence Terms is the agreements and conditions that apply to the purchase and use of
photos from BuildingImages, as well as the terms in the Terms of Services.
The Licencee is the company that has entered into a licence agreement with BuildingImages.
Downloads shall be understood as the photos the licensee can download from BuildingImages as
part of a licence agreement
Photos shall be understood as all the images available on BuildingImages and which can be
downloaded.
1. Scope of the licence
Upon payment by the Licensee for the download of Photos and subject to the Licensee’s
compliance with the Licence Terms, BuildingImages grants the Licensee a time-limited, nonexclusive right to use the Downloads on the terms and conditions set out in this Agreement.
The Licensee is entitled to use the Downloads in its own data processing and work or as part of a
creative or editorial work for third parties.
Downloads may not be used as part of a logo, trade mark or similar company characteristics.
The Licensee may not use the Downloads in an offensive, derogatory or otherwise objectionable
manner or context.
The Licensee may not sell, distribute, licence, rent, lease, lend, pledge or otherwise transfer,
assign or sublicense the Downloads to any third party – this includes use of the Downloads in
online templates or other online services that allow third parties access to the Downloads.
Any publication/publication of Downloads is at the sole risk of the Licencee. BuildingImages
cannot be held liable for any loss resulting from the publication of the content. There may be
restrictions on the use of individual Downloads. It is the responsibility of the Licencee to observe
and respect any restrictions on the use of Downloads that appear in the caption on
BuildingImages.
The Licensee has sole responsibility for the accuracy, quality, integrity, legality, reliability,
appropriateness and ownership of all Downloads. The Licensee agrees to defend and indemnify
BuildingImages against any claim arising from a breach of the Licensee’s obligations under this
Licence Agreement.
BuildingImages has the unilateral right to terminate the Licence Agreement if the Licensee acts in
breach of the Licence Agreement.
BuildingImages has the right, but is not obliged, to take remedial action if the Licensee’s
Downloads violate the restrictions described in this section, including removal or suspension of
access to such material. BuildingImages shall have no liability to the Licensee if BuildingImages
takes such action.
Royalty-free photos
Royalty-free photos are labelled “Royalty-free” on BuildingImages. There are no restrictions on the
use of royalty-free photos other than what follows from the Licence Agreement. Royalty-free
photos may be cropped and modified.
Editorial Use Only
Photos for editorial use are labelled “Editorial Use Only” on BuildingImages and may only be used
in an editorial context.
Editorial Use Only means that the use must relate to events that are newsworthy or of public
interest, e.g. in newspaper or magazine articles.
Photos for editorial use may not be used in any commercial or advertising context, or be included
in logos, company names or trademarks, or infringe the logos, company names or trademarks of
others, or be used in the manufacture and sale of products where the primary value of the product
is the images, such as postcards, mugs, t-shirts, calendars, posters, screensavers or wallpapers.
Use for these purposes will require prior authorisation.
Photos for editorial use may not be used on social media, such as Facebook, Twitter, etc. or in
other contexts that involve the transfer of rights to third parties.
Photos for editorial use may be cropped, provided that the editorial integrity of the material is not
compromised. In addition, photos for editorial use may not be altered, modified or manipulated in
any way, either manually or electronically.
Photos for editorial use must, as far as possible, be credited to BuildingImages upon publication
as follows:
Off-line/print: BuildingImages.dk
Online: BuildingImages.dk (with link to buildingimages.dk)
2. Prices
Prices and terms of payment are stated on BuildingImages. All prices are exclusive of VAT.
BuildingImages is entitled to change prices. Information about price adjustments will be
announced on BuildingImages and via newsletter in good time before they come into force.
The Licensee is entitled to terminate the Licence Agreement at any time by e-mail to
BuildingImages in accordance with the conditions in section 6.
Refunds
Refunds are not offered and the Licensee must pay the full amount for purchased Downloads
regardless of whether photos are downloaded or used.
If a Photo is defective, BuildingImages shall, at its option and at the sole discretion of the
Licensee, either provide the Licensee with an equivalent Photo or refund the Licensee the amount
paid by the Licensee for the defective Photo. The Licensee has no other rights and cannot raise
any other claims as a result of the defective photo.
3. Intellectual property rights
BuildingImages retains all intellectual property rights to the photos. The Licencee must respect
the rights of BuildingImages and is responsible for any infringement of these rights.
The Licensee is not granted any rights to the photos except for the limited licence stated in the
Licence Agreement.
The Licensee may not break or change security codes, change or remove copyright notices,
trademarks or other rights notices marked on or in connection with the photos.
4. Limited warranty
BuildingImages guarantees that it has the right to grant a licence for photos on
BuildingImages.dk.
BuildingImages does not guarantee that it has licensed or obtained rights to, or approval of, the
content of the photos, whether it be logos, designs, architecture, furniture, persons or other
reproduced subjects. The Content may be subject to copyrights, trademarks, proprietary rights,
privacy rights or other rights of third parties and Licensee is solely responsible for determining
whether third party approval is necessary and, if so, for obtaining such approval.
If a third party objects to the Licensee’s use of photos, the Licensee must immediately notify
BuildingImages in writing. In the event of a justified objection, BuildingImages shall, at its sole
discretion and as Licensee’s sole remedy, either provide Licensee with a similar photo or refund to
Licensee the amount paid by Licensee for the photo in question. The Licensee has no other
remedies and cannot bring a claim under this limited warranty.
Other than this limited warranty, photos are provided “as is” and BuildingImages makes no
additional warranties, either express or implied, regarding the photos, including warranties of
merchantability or fitness for a particular purpose.
5. Limitation of liability
BuildingImages accepts no liability for damages or financial loss, including, but not limited to,
operating loss, loss of profit, loss of data, loss of material, loss of the Licensee’s photos or other
indirect financial loss resulting from the use of Downloads, see also limitations of liability in the
Terms of Service.
BuildingImages is not liable for losses caused by the Licensee’s use of Downloads that are not in
accordance with the Licence Agreement or BuildingImages’ instructions, the Licensee’s
negligence or losses caused by the Licensee’s use of its own hardware, software, browser, server
or Internet connection.
BuildingImages does not guarantee that a certain number or a certain number of photos will be
available on BuildingImages.dk. BuildingImages can therefore not be met with claims if the
number of photos decreases or if a particular photo is removed from BuildingImages.dk due to
cessation of use.
BuildingImages’ product liability is limited to the extent permitted by mandatory laws.
BuildingImages’ total liability is always limited to the amount paid by the Licensee to
BuildingImages in the year in which the loss or damage occurred and limited in time to a period of
1 (one) year from the Licensee’s most recent photo download.
Force majeure
BuildingImages is not liable for failure to fulfil its obligations under the Agreement due to force
majeure. Force majeure is considered to be fire, war, natural disasters, strikes, lockouts and other
disruptions beyond BuildingImages’ control. In the event of force majeure, delivery times will be
postponed until delivery can take place. However, if the delay lasts more than 1 (one) month, both
parties are entitled to terminate the Agreement without notice and without compensation or
payment of damages.
6. Licence period and termination
The duration of a licence period is the time for which the Licensee has been invoiced.
Single Licences (Downloads) may be used unchanged and in new contexts for a period of up to 1
(one) year after the date of download.
Downloads used within such 1 (one) year period may continue to be used in an unchanged
manner and context without time limit.
Downloads that are to be used in a new manner or in a new context after 1 (one) year require a
renewal of the licence (new download).
Single Downloads are available for download in your account up to 1 (one) month from the date of
purchase.
Business Licence (Downloads) can be used unchanged and in new contexts for a period of up to
1 (one) year after the date of download.
Downloads used within such 1 (one) year period may continue to be used in an unchanged
manner and context without time limit.
Downloads that are to be used in a new manner or in a new context after 1 (one) year require a
renewal of the licence (new download).
Business Downloads are available for download in your account up to 12 (twelve) month from the
date of purchase.
7. General terms
BuildingImages may change the terms and conditions of the Licence Agreement at any time.
Unless changes are considered immaterial by BuildingImages, BuildingImages will inform the
licencee by e-mail and on BuildingImages.dk.
8. Choice of law and jurisdiction
The agreement shall be governed by and interpreted in accordance with Danish law without
regard to the principles of conflict of laws. Any dispute that may arise in connection with the
parties’ dealings shall be settled in Denmark by the court in Kgs. Lyngby.
The Licence Terms are written in Danish. If there is any contradiction between the Danish version
and a the english translation of this Licence Terms, the Danish version shall prevail. In the event of
a contradiction between these Licens Terms and additional agreements, e.g. BuildingImages
Terms of Services, the additional agreements shall take precedence.
Should any provision of these Licens Terms prove to be invalid, ineffective or unenforceable in
whole or in part, the validity and enforceability of the remaining provisions shall not be affected
thereby. The invalid or missing provisions shall be replaced by statutory law.
